1. Introduction and Acceptance

Welcome to Nolyn, an AI work partner for ecommerce and social media research. Nolyn brings multiple AI models and supported ecommerce and social data sources into one workspace for product research, competitor analysis, customer and partner discovery, and reporting. By accessing or using Nolyn, you agree to these Terms of Service. If you do not agree, please do not use our service.

2. Description of Service

Nolyn provides:

• An AI workspace where you describe a task and Nolyn researches, analyzes and produces a deliverable in one conversation
• Access to multiple AI models through a single subscription
• Access to supported third-party ecommerce and social media data sources (products, prices, reviews, posts, engagement metrics, store and company information)
• Scheduled tasks that run on a recurring basis and deliver reports to your library
• A library that stores your conversations, tasks, reports and other generated artifacts
• Optional outreach tools, including contact discovery, email drafting, follow-up sequences and Gmail integration for sending on your behalf

Available models, data sources and coverage are shown in the product and may change over time.

3. User Accounts

1. Registration: You must create an account to access Nolyn. You may register using Google, GitHub or other supported methods. You must provide accurate information.

2. Security: You are responsible for maintaining the security of your account credentials and for all activities under your account.

3. Notification: You agree to notify us immediately of any unauthorized access to your account.

4. Subscription Plans and Credits

1. Free Plan: The free plan includes a one-time allocation of credits to explore the AI workspace, subject to per-task and daily limits. Some models and features may be limited to paid plans.

2. Paid Plans: Pro and Scale plans provide monthly credit allocations and access to the paid models and data sources supported in Nolyn. Pricing is listed on our website and may change with notice. Existing subscriptions continue on the terms in effect when purchased.

3. Credits: AI model usage and data queries consume credits based on the actual upstream cost of each call. Credit costs are shown in the product before and after use. Paid credits are issued each subscription month, are valid for that month only, and do not roll over. Credits have no cash value and cannot be purchased separately or transferred. When your credits are exhausted, new paid calls stop until the next allocation.

4. Billing: Paid subscriptions are billed monthly or annually. All payments are processed through third-party providers (such as Stripe). Introductory discounts, where offered, apply only to the first billing period of an eligible new subscription.

5. Refunds: All purchases are final and non-refundable unless required by applicable law.

5. Acceptable Use

You agree to use Nolyn in compliance with all applicable laws and regulations and with the terms of the third-party platforms whose data you research. You agree NOT to:

• Use retrieved data to build or resell a database, data feed or competing data product, or to systematically extract data beyond what your own research tasks require
• Compile, profile or track individuals (including sellers, creators or reviewers) for purposes unrelated to legitimate business research
• Send spam, unsolicited bulk emails, or emails that violate CAN-SPAM, GDPR, or other applicable regulations
• Use the platform to harass, threaten, or harm any person, or to infringe intellectual property or privacy rights
• Provide false or misleading information in outreach emails
• Attempt to circumvent rate limits, credit systems, data source restrictions or security features
• Reverse engineer, decompile, or attempt to extract the source code of our platform
• Resell, share or redistribute access to Nolyn without authorization

6. Third-Party Data and Platforms

• Data available through Nolyn is obtained from third-party data providers and originates from publicly available pages of ecommerce and social media platforms. Nolyn is not affiliated with, endorsed by or sponsored by any of these platforms, and their names and logos are the property of their respective owners.
• Data is provided for your internal business research. Coverage, freshness and accuracy depend on the platforms and providers and may change or become unavailable without notice.
• You are responsible for ensuring that your use of retrieved data complies with the originating platform's terms, applicable data protection laws, and intellectual property rights.

7. Email and Communication Compliance

When using Nolyn to send emails, you are responsible for:

• Ensuring compliance with all applicable email regulations (CAN-SPAM, GDPR, CASL, etc.)
• Including accurate sender information and a valid physical address
• Honoring unsubscribe requests promptly
• Obtaining necessary consent before contacting individuals in jurisdictions that require it

Nolyn provides tools to help with compliance but does not guarantee legal compliance of your outreach campaigns.

8. Gmail Integration

By connecting your Gmail account to Nolyn:

• You authorize Nolyn to send emails on your behalf only. Nolyn requests only the gmail.send OAuth scope.
• Nolyn does not read, access, or store the content of your inbox or incoming email messages. We do not request gmail.readonly or any scope that would grant access to your mailbox contents.
• You acknowledge that email sending is subject to Gmail's usage policies and rate limits.
• Nolyn's use and transfer of information received from Google APIs adhere to the Google API Services User Data Policy, including the Limited Use requirements.

9. Intellectual Property

• Nolyn and its underlying technology, design, and content are owned by Nolyn and protected by copyright and other intellectual property laws.
• You retain ownership of the content you provide and, to the extent permitted by law, the reports and other outputs generated for you. Third-party data included in outputs remains subject to the rights of its owners.
• You grant Nolyn a limited license to process your content as necessary to provide the service.

10. AI-Generated Content

• Nolyn uses AI to analyze data and generate reports, comparisons, recommendations, email drafts and other content.
• AI-generated content may contain errors, omissions or outdated information and is provided for informational purposes only. It does not constitute professional, legal, financial or investment advice.
• You are solely responsible for verifying outputs before relying on them and for any decisions you make or content you send based on them, including AI-generated drafts you approve.

11. Privacy

We collect and process personal data as described in our Privacy Policy. By using Nolyn, you consent to such processing.

12. Termination

• You may cancel your account at any time.
• We reserve the right to suspend or terminate your access for violation of these Terms or for any conduct we deem harmful to other users, our platform or our data providers.
• Upon termination, unused credits are forfeited and your data will be retained as described in our Privacy Policy.

13. Disclaimer of Warranties

Nolyn is provided "as is" and "as available." We make no warranties regarding:

• The accuracy, completeness or quality of AI-generated content
• The accuracy, freshness, coverage or continued availability of third-party data or any data source
• The availability of any particular AI model
• The deliverability of emails sent through our platform
• Uninterrupted or error-free service

14. Limitation of Liability

To the fullest extent permitted by law, Nolyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of the service or reliance on its outputs.

15. Indemnification

You agree to indemnify Nolyn from any claims, damages, or expenses arising from your use of the service, your use of retrieved data, your outreach campaigns, or your violation of these Terms.

16. Governing Law

These Terms are governed by applicable law. Any disputes will be resolved through binding arbitration or in the courts of the applicable jurisdiction.

17. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via the platform or email. Continued use after changes constitutes acceptance.
